We render legal services to local and foreign clients in the Energy, Natural Resources and allied services industry. We have particular expertise in the areas of project finance, compliance procedures, community relations and environmental protection. Members of our Firm have advised foreign lawyers and operators in the industry in several transactions in these areas.
These include:
i.participating in the legal team representing Mobil Producing Nigeria Unlimnited in its multi-billion dollar Osso Condensate Field Development Project financed by an International Consortium of Lenders led by the International Finance Corporation (IFC) the Exim bank of the United States and the Japanese Import Export Bank.
ii.participating in the review of the power purchase agreement for electricity generating facilities in Lagos between Enron, Lagos State Government , NEPA and the Federal Government on behalf of the Nigerian Council on Privatisation and BPE and the formulation and preparation of a new agreement.
iii.participation in the legal team that advised and participated in the preparation of the security documentation for a multi-million dollar finance package of the Assax Oil Exploration Group of Switzerland arranged by lenders from the Republic of Ireland for its Nigerian oil exploration and production operations.
iv.carrying out the documentation for the streamlining of Nigerian operating companies arising from the international merger of ABB loans Global, Luminus Crest and ABB Randau Corporation of the Netherlands and United States respectively.
v.Principal Legal Adviser to Breder Price Holdings Bv of the Netherlands in its acquisition of the minority interests of Nigerians in the Nigerian subsidiary of this pipe-coating multinational to make the Nigerian company a wholly owned subsidiary.
vi.Principal Legal Adviser to Tropical Mines Ltd in relation to the joint venture with the Federal Government and a foreign company for the exploitation of the Gold mine at Iperin-Odo, Ilesha, Osun State.
vii.Principal Legal Adviser to African Petroleum Plc in respect of the formation and incorporation of three joint-venture subsidiaries with foreign partners under the STAR OILFIELD brand name.
Members of the Firm are quite involved in this area and represent several oil field services, oil exploration, oil marketing companies and energy producing and regulatory bodies in the area of environmental and commercial matters and financial transactions. Some of these companies and bodies are Texaco Nigeria Plc, African Petroleum Plc, Optimum Petroleum Development Company Ltd., ABB Oil & Gas Nigeria Ltd., Mobil, NEPA, Brederso Price and Lordmart Nigeria Ltd.
Participated in the Shell and International Finance Corporation US$30 Million Niger Delta Contractor, Credit Facility
Negotiated and reviewed gas sale and purchase agreement for the supply of gas by the Shell Petroleum Development Company Limited to the industrial site of De-United industries Limited in Ota, Ogun State.
Participated in the negotiation and review of Loan Agreement between Eurochem Pte. Limited, Viva Methanol Limited and the Government of the Federal Republic of Nigeria for the funding of US$ 630 Million Mega-scale Methanol Plant
Provide Legal services as Counsel to the International Finance Corporation (IFC) with respect to a $105 Million Small Scale Power Projects wherein IFC was to Provide technical and financial assistance to two Companies namely Geometrics Power Limited and Negris Limited.
In furtherance to our Clients instructions we rendered the following services:
a.Reviewed and discussed existing and proposed legislation and their impact on the two projects.
b.Recommended the optimal legal structure of the proposed projects taking into account the need for the projects to meet legislative requirements.
c.Recommended Legislative and regulatory changes to better encourage private power projects.
d.Met with NEPA now PHCN management and its legal counsel in Abuja to discuss the projects together with the project Sponsors World Bank/IFC.
e.Met with Government officials in Abuja with World Bank staff to discuss existing and proposed legislation with respect to private power generation and distribution.
Acted as Consultant to Perchstone & Graeys - Legal Advisers to Nigeria LNG Limited (NLNG) for Club of Nigerian Arranger Banks on Nigeria LNG Plus (NLNGPLUS) Project Plant Financing.
